This AI Disclaimer applies to all artificial intelligence, machine learning, automation, generative AI, chatbot, agentic AI, workflow automation, data analysis, document generation, knowledge management, compliance technology, training, advisory support, and related AI enabled services, tools, outputs, materials, demonstrations, prototypes, reports, templates, insights, summaries, and communications undertaken, provided, made available, or supported by ONYX Solutions Limited, whether through the ONYX website, ONYXTrack, ONYXTrain, ONYX Training Solutions, ONYX Compliance Solutions, Owlexa   ONYX-Owls, ONYX-AI, ONYX Academy, client projects, email, meetings, workshops, third party platforms, internal systems, or any other ONYX service channel.
 

References in this disclaimer to “AI Services” include all AI assisted or AI enabled work undertaken or provided by ONYX, whether delivered directly by ONYX personnel, through ONYX developed tools, through third party AI tools, or through a combination of professional expertise and technology.
 

At ONYX, we use emerging technologies, including artificial intelligence, to support our professionals in delivering timely, practical, and high quality content, insights, tools, training, and client support. AI may be used to assist with research, drafting, summarisation, analysis, document review, workflow support, training content, regulatory insight, automation, and other efficiency enhancing activities.
 

Where AI is used, ONYX aims to apply appropriate human oversight, review, and professional judgement. However, AI generated or AI assisted outputs may contain inaccuracies, omissions, outdated information, unintended bias, or content that may not be suitable for a particular purpose, business, organisation, jurisdiction, or regulatory context.

Although ONYX takes reasonable steps to support the quality and relevance of its AI Services, we make no representation, warranty, or guarantee, whether express or implied, that any AI generated or AI assisted output is accurate, complete, current, reliable, suitable, lawful, or appropriate for your particular circumstances.
 

AI tools may produce outputs that appear confident or authoritative but are incorrect, incomplete, misleading, out of date, or unsuitable. Regulatory requirements, laws, guidance, market practice, and supervisory expectations may change, and AI outputs may not reflect the latest position.
 

You are responsible for independently verifying any output before relying on it.
 

User Responsibility and Human Oversight

You remain responsible for the use, interpretation, review, validation, implementation, and consequences of any AI generated or AI assisted output.

Client Inputs and Information Provided to ONYX

The quality and relevance of AI assisted outputs may depend on the information, documents, instructions, data, assumptions, and context provided to ONYX. ONYX is not responsible for errors, omissions, inaccuracies, or unsuitable outputs arising from incomplete, inaccurate, unclear, outdated, or misleading information supplied by you or on your behalf.
 

You should not provide confidential, sensitive, personal, regulated, privileged, or third party information to any AI tool, ONYX platform, or ONYX AI Service unless you are authorised to do so and it is appropriate in the circumstances.
 

Data Protection, Confidentiality, and Security

Where personal data is processed in connection with AI Services, such processing should be handled in accordance with applicable data protection laws, contractual obligations, confidentiality requirements, and ONYX policies.
 

Depending on the nature of the service, jurisdiction, data involved, and tools used, additional data protection, privacy, security, record keeping, transparency, or governance obligations may apply.

You are responsible for ensuring that you have the necessary rights, permissions, notices, lawful basis, consents, and authority to provide information to ONYX or to use AI Services in connection with personal data, confidential information, client information, regulated information, or third party materials.
 

Third Party AI Tools and External Resources

ONYX AI Services may use, interact with, refer to, or be supported by third party AI tools, software, platforms, models, data sources, websites, or external resources. ONYX does not control third party tools, models, platforms, websites, data, or services and is not responsible for their availability, performance, accuracy, security, policies, outputs, or content.
 

Links, references, integrations, or outputs involving third party resources are provided for convenience or functionality only and do not amount to endorsement, verification, or approval by ONYX.
 

No Guarantee of Outcome

ONYX does not guarantee that use of any AI Service will achieve a particular legal, regulatory, commercial, compliance, operational, technological, or risk management outcome.

AI Services may assist with efficiency, analysis, drafting, training, workflow design, or decision support, but final decisions, submissions, actions, controls, and implementations remain your responsibility.
 

Regulatory and Jurisdictional Limitations

AI, data protection, financial services, legal, regulatory, employment, consumer, intellectual property, cybersecurity, and sector specific obligations may vary by jurisdiction and may change over time.

Unless expressly agreed in writing, ONYX does not warrant that any AI Service or AI assisted output complies with the laws, regulations, guidance, supervisory expectations, or professional requirements of any specific jurisdiction, regulator, sector, or use case.
 

Intellectual Property and Use of Outputs

Unless otherwise agreed in writing, your rights to use AI assisted outputs provided by ONYX will be governed by the applicable ONYX terms of business, engagement letter, licence terms, platform terms, or service agreement.
 

You are responsible for ensuring that any AI assisted output is reviewed before publication, distribution, submission, commercial use, or reliance, including for accuracy, confidentiality, intellectual property, regulatory, reputational, and professional standards.
 

Limitation of Liability

To the fullest extent permitted by law, ONYX Solutions Limited and its affiliates, directors, officers, employees, contractors, consultants, representatives, and agents will not be liable for any loss, damage, cost, claim, liability, or expense, whether direct, indirect, incidental, consequential, special, punitive, or otherwise, arising from or connected with:
 

1. your access to, use of, or reliance on any AI Service or AI assisted output;

2. any inaccuracy, omission, error, delay, interruption, or unavailability in any AI Service or output;

3. any decision, action, omission, implementation, submission, or communication made in reliance on AI assisted output;

4. any third party AI tool, platform, model, software, data source, website, or service;

5. any unauthorised, inappropriate, or unlawful use of information, data, personal data, confidential information, or third party materials in connection with AI Services.
    

Nothing in this disclaimer excludes or limits liability where such exclusion or limitation is not permitted by applicable law.
 

Relationship with Other Terms

This AI Disclaimer should be read together with any applicable ONYX terms of business, engagement letter, proposal, service agreement, licence terms, privacy notice, website terms, platform terms, or other contractual documents.
 

Where there is a conflict between this AI Disclaimer and a signed written agreement with ONYX, the signed written agreement will prevail to the extent of that conflict.
 

Governing Law and Jurisdiction

Unless otherwise agreed in writing, this AI Disclaimer, the use of ONYX AI Services, and any related non contractual obligations are governed by the laws of Guernsey.

Unless otherwise agreed in writing, the courts of Guernsey shall have jurisdiction in relation to any dispute arising out of or in connection with this AI Disclaimer or the use of ONYX AI Services.
 

Your Consent

By accessing, using, receiving, or relying on any ONYX AI Service or AI assisted output, you acknowledge and agree to this AI Disclaimer.

If you do not agree with this AI Disclaimer, you should not use or rely on ONYX AI Services or AI assisted outputs.
